These Terms of Service ("Terms") govern your use of Plate Assist, operated by Plate Assist ("we," "us," or "our"). By creating an account or using Plate Assist, you agree to these Terms. If you do not agree, do not use the service.
1. Service Description
Plate Assist is a software-as-a-service (SaaS) platform that enables registered dietitians and nutritionists to provide automated recipe analysis to their clients. The platform allows nutritionists to upload clinical guidelines, invite clients to a branded portal, and provide AI-powered recipe scoring and recommendations based on those guidelines.
2. Eligibility
Plate Assist is intended for use by licensed or registered dietitians, nutritionists, and nutrition professionals. By creating an account, you represent that you are a qualified nutrition professional or are authorized to act on behalf of one. You must be at least 18 years old to use the service.
3. User Responsibilities
As a Plate Assist user, you agree to:
- Provide accurate and current information when creating your account.
- Maintain the confidentiality of your account credentials.
- Take full responsibility for the accuracy, appropriateness, and clinical validity of the nutritional guidelines you upload.
- Ensure that your use of Plate Assist complies with all applicable laws, regulations, and professional standards.
- Obtain appropriate consent from clients before adding them to the platform.
- Not use Plate Assist for any unlawful purpose or in violation of these Terms.
4. Important Disclaimer — Not a Medical Device
Plate Assist is a decision-support tool, not a substitute for clinical judgment. The platform provides automated recipe analysis based on guidelines you supply. Plate Assist does not provide medical advice, diagnose conditions, or prescribe treatments. Recipe scores and recommendations are generated by AI and should be reviewed in the context of your professional expertise.
You acknowledge and agree that:
- Plate Assist is not a medical device and is not intended to be used as one.
- AI-generated analysis may contain errors or inaccuracies.
- You retain full clinical responsibility for all nutritional guidance provided to your clients, whether through Plate Assist or otherwise.
- Clients should be informed that Plate Assist supplements but does not replace professional nutritional counseling.
5. Subscription and Billing
Plate Assist is offered as an annual subscription at $99 per year. Your subscription includes:
- A 30-day free trial, during which no payment is required.
- Unlimited client invitations and all platform features.
- Automatic renewal at the end of each annual billing period.
After the free trial, your payment method will be charged $99 for the first year. Subsequent renewals will be charged at the then-current annual rate. We will notify you of any price changes at least 30 days before they take effect.
6. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at hello@plateassist.co.
- During free trial: Cancel anytime with no charge.
- Within 30 days of payment: You are eligible for a prorated refund upon request.
- After 30 days: No refunds are issued, but your access continues until the end of your current billing period.
Upon cancellation, your clients will retain access to their portals until the end of your billing period. After that, client portals will be deactivated.
7. Data Ownership
You retain full ownership of all content you upload to Plate Assist, including nutritional guidelines, branding assets, and practice information. Your clients retain ownership of any recipe data they submit. We do not claim any intellectual property rights over your content.
We are granted a limited, non-exclusive license to use your content solely for the purpose of operating the Plate Assist service — including AI-powered recipe analysis, email delivery, and displaying your branded portal to clients.
8. Intellectual Property
Plate Assist's software, design, brand, and technology are owned by Plate Assist and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Plate Assist platform without our written consent.
9. Limitation of Liability
To the maximum extent permitted by law, Plate Assist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of or inability to use the service.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to Plate Assist in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold Plate Assist harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these Terms, or any claim by a third party related to the nutritional guidelines or advice you provide through the platform.
11. Modifications to the Service
We may update, modify, or discontinue features of Plate Assist at any time. We will make reasonable efforts to notify you of material changes. Continued use of the service after changes constitutes acceptance of the modified Terms.
12. Termination
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if your use poses a risk to the platform or other users. Upon termination, you may request export of your data within 30 days.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of San Francisco, California.
